  You know when Chessie System and Seaboard System joined, the holding
companies
merged first to get a full corporate existance going. NS did the same,
Norfolk Southern Corp.
merged in 1982, I think it was, but the Southern
and the Norfolk & Western were operating subsidairies until a full
corporate merger was
completed then the two roads merged, railroad
wise and still worked as one. If PC had done
something like that, they could have made it.
I think CSX and NS are becoming another 
"Conrail" so to speak.
